Soliciting, Negotiating, and Managing Restricted Gifts and Endowment Funds

For many nonprofits, restricted gifts and endowment funds offer powerful fundraising tools that can increase donors’ incentives to give. Donors may impose restrictions on the naming or use of gifts. Or when and in what amounts the gifted funds will be paid out, thereby designating the gift as an endowment fund. In the best circumstances, these gifts enable donors to impose their wishes in a way that aligns with the funding needs and priorities of the nonprofit donor. However, these gifts can also present significant legal challenges on many levels.

This webinar, led by nonprofit attorney Janet Rickerhauser, offers a practical guide to the legal issues involved in soliciting, negotiating, and managing endowment and other restricted gifts. Attendees will learn concrete strategies and tools to seek out and administer these gifts. The webinar will address legal issues and pitfalls in communicating with donors, preparing or reviewing gift agreements, administering restricted gifts and endowments under the Uniform Prudent Management of Institutional Funds Act (UPMIFA) and related state laws, and federal and state reporting requirements, as well as the recently enacted excise tax on larger endowments.

Just a sample of what the webinar will cover:

  • Binding effect and enforceability of gift agreements
  • What counts as evidence of donor intent
  • Donor standing to enforce restrictions in court
  • Special issues of non-cash gifts
  • Prudent investment of endowment funds
  • Delegation of investment duties
  • Releasing and modifying donor restrictions
  • Endowment payout rates
  • Borrowing endowment funds and pledging them as collateral
  • Legal structures for holding endowment funds
  • And much more!
